Lumson Group accelerates its international growth with two acquisitions in the United States and Asia, strengthening its presence across three continents
Lumson S.p.A., an Italian group operating in the primary packaging sector for the cosmetics industry, announces that it has completed, through its U.S. subsidiary Lumson USA, the acquisition of Lombardi Design and Manufacturing, a U.S.-based company specializing in cosmetic primary packaging, and has also acquired in Asia the 100% of Lombardi Design & MFG Limited.
The two transactions represent an important strategic step in the Group’s international growth strategy and significantly strengthen its presence across key global markets for cosmetic packaging. With the acquisition of the US company and the investment in the Asian business, Lumson now has a direct presence across three continents – Europe, North America and Asia – further enhancing its ability to serve global customers, develop industrial and commercial relationships on an international scale and capture new opportunities in high-growth markets.
The combination of its European and North American operations, together with its strategic presence in Asia, further expands Lumson’s international platform and strengthens its positioning as a global partner for the beauty and personal care industry. The presence in the United States will enable the Group to further strengthen its proximity to North American customers, while its direct presence through Lombardi Design & MFG Limited will further strengthen Lumson’s strategic foothold in the Asian market and, more broadly, across the Asia-Pacific region.
Lombardi Design and Manufacturing will continue to operate under its existing name and brand, ensuring management and operational continuity. Carl Lombardi will also continue to lead the company as CEO, supporting the future growth and strategic integration of the business within the Group.
The transactions are part of Lumson’s long-term strategy focused on international growth, strengthening its industrial and technological capabilities and expanding its presence in the global primary packaging market for the beauty and personal care industry. The expansion of its geographical footprint represents a further step in the development of an increasingly international group, capable of combining expertise, manufacturing capabilities and commercial presence across the world’s key markets.

The transaction was managed internally at Lumson by the M&A team coordinated by the Vice President Francesco dell’Elmo, who also supervised the debt advisory activities with the support of the Board Member Paolo Mancini. KPMG S.p.A. performed the financial and tax due diligence. Chiomenti and Skadden, Arps, Slate, Meagher & Flom LLP acted as legal advisors for Lumson. Aramar Capital Group, LLC acted as financial advisor for Lombardi Design and Manufacturing, while Nixon Peabody LLP and Bonelli Erede acted as legal advisors.
The acquisition was supported by a financing pool of financing institutions comprising Intesa Sanpaolo, BNL BNP Paribas, Crédit Agricole Italia and Banco BPM. The transaction was also supported by SIMEST, part of the Cassa Depositi e Prestiti Group, which contributed to supporting Lumson’s international growth strategy.
